2.2. The licence permits the Customer to use ForestrPro for its own internal business operations, including forestry management, tree planting, harvesting, site management, team coordination, mapping, progress recording and reporting, subject to the features available under its Plan.

2.5. The Customer must not sell, sublicense, rent, lease, distribute or commercially exploit access to ForestrPro for the benefit of an unrelated third party unless the Provider has given written permission.

2.6. The Provider may update, improve or modify the Software from time to time, subject to this Agreement.

3.2. Unless the relevant order form states otherwise, all standard Plans include the same core features, with the principal differences being user and team limits.

3.3. Each registered user counts as one Authorised User, regardless of how many teams that user belongs to. Shared accounts must not be used to circumvent user limits.

3.4. Enterprise subscriptions are subject to reasonable use of system resources. Any material usage limits or additional charges must be disclosed in writing before they apply.

3.5. Monthly subscriptions are billed monthly. Annual subscriptions are billed in advance for the applicable annual term. The actual billing frequency and price will be shown at checkout or in the order form.

3.6. Any free trial, promotional period or discount will be subject to the terms communicated to the Customer when the offer is made.

3.7. Subscription Fees are exclusive of VAT unless expressly stated otherwise. VAT will be charged where legally applicable.

3.8. The Provider may change prices for future renewal periods by giving at least 30 days' written notice. A price change will not alter a prepaid term unless otherwise agreed.

4. Payment, renewal and cancellation

4.1. The Customer must pay Subscription Fees using the payment method or invoicing arrangement accepted by the Provider.

4.2. Monthly subscriptions renew automatically for successive monthly periods, and annual subscriptions renew automatically for successive annual periods, unless cancelled before the next renewal date.

4.3. The Customer may cancel through account billing settings or by contacting the Provider at info@forestrpro.com. Cancellation takes effect at the end of the current paid billing period unless otherwise agreed.

4.4. Unless required by law or expressly agreed otherwise, cancellation does not entitle the Customer to a refund of fees already paid for the current billing period.

4.5. If a payment fails, the Provider may notify the Customer and allow a reasonable period to correct the payment. If payment remains outstanding, the Provider may suspend access after giving reasonable notice.

4.6. The Provider may recover reasonable and lawful costs incurred in collecting overdue payments.

4.7. Nothing in this Agreement excludes any refund or other right to which the Customer is entitled under applicable law.

5. Customer responsibilities

5.1. The Customer must:

a. Provide accurate account, billing and business information.

b. Keep account credentials secure and promptly report suspected unauthorised access.

c. Ensure that its Authorised Users are properly authorised to access the Customer's data and operational records.

d. Use ForestrPro lawfully and in accordance with this Agreement.

e. Obtain necessary permissions and lawful bases for collecting and sharing personal data, including employee or contractor location data.

f. Ensure that Authorised Users understand applicable workplace policies concerning location tracking and data collection.

g. Maintain suitable devices, internet connectivity and equipment required to access the Software.

h. Ensure that uploaded maps, boundaries, records and other materials may lawfully be used for their intended purpose.

5.2. The Customer must not:

a. Copy, modify, reverse engineer, decompile or attempt to extract the Software's source code, except where such restriction is prohibited by law.

b. Circumvent subscription, access-control, user or team limits.

c. Attempt to gain unauthorised access to accounts, systems, data or infrastructure.

d. Introduce malicious code or deliberately interfere with the Software's availability, security or integrity.

e. Use ForestrPro to infringe another person's intellectual property, privacy or other legal rights.

f. Resell or provide access to ForestrPro as a separate commercial service without written permission.

6. Intellectual property

6.1. All intellectual property rights in ForestrPro, including its software code, architecture, interfaces, branding, logos, designs, Documentation and original materials, remain with Chris Docherty or the relevant third-party rights holder, as applicable.

6.2. Except for the limited licence expressly granted under this Agreement, no intellectual property rights are transferred to the Customer.

6.3. The Customer retains its rights in Customer Data and in materials it independently owns and uploads to ForestrPro.

6.4. The Customer grants the Provider a limited right to host, store, transmit, process and display Customer Data to the extent reasonably necessary to provide, secure, maintain and support ForestrPro, in accordance with the Customer's documented instructions and applicable law.

6.5. The Provider may use general feedback and suggestions supplied by the Customer to improve ForestrPro, provided this does not disclose the Customer's confidential information or personal data.

6.6. The Software may contain third-party software, libraries, map services or other components subject to separate licence terms. Those terms apply where relevant.

6.7. The Customer must not remove proprietary notices or represent that it owns ForestrPro or its underlying intellectual property.

7. Customer Data, backups and export

7.1. The Customer is responsible for ensuring that Customer Data it enters or uploads is accurate, lawful and appropriate for its intended use.

7.2. The Provider will implement reasonable technical and organisational measures to protect Customer Data, taking account of the nature of the data and the services provided.

7.3. The Provider will use reasonable efforts to maintain appropriate backup and recovery arrangements. Unless a separate written service level or backup commitment applies, the Provider does not guarantee that data loss can never occur.

7.4. Where export functionality is available, the Customer may export supported Customer Data during its active subscription, subject to the Software's capabilities and technical limitations.

7.5. On expiry or termination, the Customer should export its data before access ends. Where reasonably technically practicable, the Provider will make Customer Data available for export for at least 30 days after termination, unless a different period is agreed or legal obligations require otherwise.

7.6. After the applicable export period, the Provider may delete Customer Data from active systems, subject to legal retention requirements, backup cycles and Schedule 1.

7.7. The Customer should maintain its own copies of important operational records and must not treat ForestrPro as its sole permanent archive.

8. Privacy and data protection

8.1. Each party will comply with the data protection laws applicable to it, including the UK GDPR and Data Protection Act 2018, as amended.

8.2. Depending on the nature and purpose of processing, the Customer may act as controller and the Provider may act as processor in respect of Customer Data. The parties' actual roles must be assessed for each relevant processing activity.

8.3. Where the Provider processes personal data on behalf of the Customer as a processor, Schedule 1 applies.

8.4. The Customer is responsible for determining the lawful basis for its collection and use of personal data, including staff GPS information, and for providing any required privacy information to affected individuals.

8.5. The Provider may process limited account, billing, security and service-usage information for its own legitimate operational and legal purposes. Where the Provider determines the purposes and means of such processing, it will act as a controller and provide appropriate privacy information.

8.6. The Provider will not sell the Customer's personal data. Any use of aggregated or de-identified information to analyse or improve the Software must comply with applicable law and must not improperly identify the Customer or individuals.

9. GPS, mapping and forestry operational limitations

9.1. ForestrPro may provide GPS location tracking, site mapping, offline functionality, route recording, progress reporting, GIS data exchange and other field-operational tools.

9.2. GPS accuracy and availability depend on device hardware, satellite reception, permissions, battery settings, operating systems, connectivity, environmental conditions and other factors outside the Provider's reasonable control.

9.3. GPS recording, live location updates, background tracking and synchronisation may be interrupted by device restrictions, revoked permissions, loss of connectivity, battery-saving settings, application suspension, device shutdown or technical faults.

9.4. Offline records may not synchronise immediately. The Customer is responsible for reviewing synchronisation status and resolving any displayed errors or conflicts.

9.5. Maps, aerial imagery, boundaries, terrain data, GIS layers and imported data may be incomplete, outdated, approximate or subject to third-party limitations. Their availability and accuracy are not guaranteed unless expressly agreed in writing.

9.6. ForestrPro is an operational management tool and is not a substitute for professional surveying, site inspections, risk assessments, competent forestry supervision or independent verification of measurements and records.

9.7. The Customer remains responsible for forestry work, site safety, machinery operation, access permissions, environmental compliance, work instructions and decisions made using information displayed by ForestrPro.

9.8. The Customer must not rely exclusively on ForestrPro's GPS, mapping, measurements or progress records for safety-critical decisions, statutory compliance or any purpose requiring independently verified information.

10. Service availability and support

10.1. The Provider will use reasonable efforts to maintain the availability of ForestrPro and address material faults reported by the Customer.

10.2. The Provider does not guarantee uninterrupted or error-free availability unless a separate written service level agreement expressly provides otherwise.

10.3. The Provider may temporarily restrict access for maintenance, security updates, repairs, upgrades or circumstances outside its reasonable control. Where practicable, the Provider will give advance notice of planned material interruptions.

10.4. Support will be provided through the contact channels and within the support arrangements published by the Provider or agreed in the Customer's order form.

10.5. The Provider may change or discontinue individual features where reasonably necessary for security, legal compliance, technical maintenance or product development. The Provider will give reasonable notice of material adverse changes where practicable and will consider an appropriate remedy if a substantial paid feature is permanently withdrawn during a prepaid term.

11. Confidentiality

11.1. Each party must take reasonable steps to protect the other party's confidential information and use it only for the purposes of this Agreement.

11.2. Confidential information does not include information that is public through no breach of this Agreement, already lawfully known to the receiving party, independently developed without use of the confidential information, or lawfully received from another source.

11.3. A party may disclose confidential information where required by law or a competent authority, subject to any lawful notice requirements.

11.4. These confidentiality obligations continue after termination for as long as the information remains confidential, subject to applicable law.

12. Suspension and termination

12.1. Either party may terminate this Agreement if the other party commits a material breach and fails to remedy it within 30 days after receiving written notice describing the breach, where the breach is capable of remedy.

12.2. The Provider may suspend access immediately where reasonably necessary to address a serious security threat, unlawful activity, material risk to other customers, or misuse that threatens the integrity of ForestrPro. The Provider will notify the Customer as soon as reasonably practicable, subject to security and legal restrictions.

12.3. The Provider may suspend or terminate an account for material misuse, repeated payment default or a serious breach of this Agreement, taking proportionate action and providing notice where reasonably practicable.

12.4. The Customer may terminate this Agreement if the Provider commits a material breach and fails to remedy it within the period specified in clause 12.1.

12.5. On termination, the Customer's licence ends and the Customer must stop using ForestrPro, except to the extent temporary access is permitted for data export.

12.6. Termination does not affect rights or obligations accrued before termination, including unpaid fees and obligations intended to continue after termination.

12.7. Data export, deletion and retention will be handled in accordance with clause 7 and Schedule 1, where applicable.

13. Warranties and liability

13.1. The Provider will provide ForestrPro with reasonable care and skill.

13.2. The Customer acknowledges that software and connected services may contain defects, experience interruptions or depend on third-party systems. The Provider does not warrant that ForestrPro will meet every Customer requirement or be compatible with every device, map source or external system.

13.3. Nothing in this Agreement excludes or limits liability where such exclusion or limitation is unlawful, including liability for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

13.4. Subject to clause 13.3, neither party will be liable to the other for indirect or consequential loss, or for loss of profits, revenue, anticipated savings, business opportunity or goodwill, to the extent such loss may lawfully be excluded.

13.5. Subject to clauses 13.3 and 13.6, each party's total aggregate liability arising out of or in connection with this Agreement in any rolling 12-month period will not exceed the Subscription Fees paid or payable by the Customer during that period.

13.6. Any liability cap or exclusion in this Agreement is subject to applicable law and must be applied only to the extent legally enforceable.

13.7. The Provider is not responsible for decisions made by the Customer solely on the basis of unverified GPS positions, maps, measurements, estimates or operational records, except to the extent liability arises from a breach of this Agreement or applicable law for which the Provider is responsible.

13.8. Each party must take reasonable steps to mitigate loss for which it seeks compensation.

14. Changes to this Agreement

14.1. The Provider may update this Agreement where reasonably necessary to reflect changes in law, security, technical requirements or the operation of ForestrPro.

14.2. The Provider will give the Customer reasonable advance notice of material adverse changes. Where a material change substantially reduces the service paid for during a prepaid term, the Customer may terminate the affected subscription before the change takes effect and receive a proportionate refund for the unused prepaid period, where appropriate and legally required or agreed.

14.3. Changes will not retrospectively remove rights that have already accrued.

15. General provisions

15.1. Entire agreement: This Agreement, the applicable order form, the published Plan details and any applicable data-processing terms form the agreement between the parties concerning ForestrPro.

15.2. Assignment: The Customer may not assign this Agreement without the Provider's written consent, which must not be unreasonably withheld where appropriate. The Provider may transfer this Agreement as part of a genuine business restructuring, sale or transfer of the relevant business or intellectual property, subject to applicable law and reasonable protection of the Customer's rights.

15.3. Severability: If a provision is found to be unlawful or unenforceable, the remaining provisions will continue in effect.

15.4. No waiver: A failure or delay in exercising a right does not waive that right.

15.5. Third-party rights: A person who is not a party to this Agreement has no right to enforce its terms, except where applicable law provides otherwise.

15.6. Notices: Notices under this Agreement must be sent to the email or postal addresses recorded in the Customer's account or specified in the relevant order form. Notices of termination or material breach should clearly identify the relevant issue.

15.7. Governing law and jurisdiction: This Agreement and any dispute or claim arising out of or in connection with it, including any non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of Scotland. The Scottish courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement, subject to any mandatory legal requirements.

16. Acceptance

By signing an order form, accepting these terms during registration or purchasing a subscription that expressly incorporates this Agreement, the Customer agrees to be bound by its terms.

2. Customer instructions and obligations

2.1. The Customer acts as controller for the personal data it determines to process through ForestrPro, unless the parties' actual processing arrangements establish otherwise.

2.2. The Customer is responsible for having a lawful basis for processing, providing required privacy information, responding to data subject requests and ensuring that its instructions comply with applicable data protection law.

4.2. The Provider will ensure that applicable data protection obligations are imposed on relevant sub-processors by written contract.

4.3. The Provider will provide information about relevant sub-processors on request and notify the Customer of material proposed changes where required by applicable law. The Customer may raise reasonable, documented data protection objections.

4.4. The Provider remains responsible for its own obligations concerning the engagement of sub-processors.

5. International transfers

The Provider will not transfer personal data internationally in a manner requiring specific safeguards unless the applicable legal requirements for that transfer have been met.

6.1. On termination, the Provider will support the return or deletion of personal data in accordance with clause 7 of the main Agreement and applicable data protection law.

6.2. Copies retained in backups will be deleted through the Provider's normal backup lifecycle, unless earlier deletion is technically practicable or retention is required by law. Until deletion, such data remains subject to applicable protection and access restrictions.
